Terms & Conditions

Effective date: 2026-06-21 _(updated from 2026-06-20 to add § 14 governing API keys issued by the Service; prior sections renumbered accordingly; earlier: 2026-06-19 to add §§ 14–20 covering multichannel listing, user content, order data, first-party analytics, transactional email, multi-user accounts, and AI listing generation)_

These Terms & Conditions ("Terms") govern your access to and use of Emporania, a

self-hosted multichannel e-commerce listing-management application, associated APIs,

background worker, and web interface (collectively, the "Service"), operated by

AideaMaker LLC ("AideaMaker LLC," "we," "us," or "our"). By installing, activating,

or otherwise using the Service, you ("you," "your," or "Customer") agree to be bound

by these Terms. If you do not agree, do not use the Service.

Emporania is an AideaMaker brand, a product of AideaMaker LLC

(aideamaker.com).

Not legal advice. These Terms are a protective starting document, not a

substitute for review by a qualified attorney.

1. Acceptance of Terms

By installing or using the Service you confirm that you have read, understood, and

agree to these Terms. If you are entering into these Terms on behalf of a company

or other legal entity, you represent that you have authority to bind that entity, in

which case "you" refers to that entity.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use

the Service. You are responsible for ensuring that your use of the Service complies

with all laws and regulations that apply to you.

3. Accounts and Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • and any channel API keys, OAuth tokens, and signing credentials stored in the Service.

  • You are responsible for all activity that occurs under your account or tenant.
  • You must notify us promptly of any unauthorized use of your account or any breach of security.
  • Channel credentials are encrypted at rest within your own deployment; you are responsible
  • for the security of your deployment environment and the infrastructure on which the

    Service runs.

  • We are not liable for any loss or damage arising from your failure to safeguard
  • your credentials or your deployment.

    4. Licenses and Permitted Use

  • The Service is provided to you under a limited, non-exclusive, non-transferable,
  • non-sublicensable license for your internal business operations, subject to any

    seat, tenant, or term limits associated with your license.

  • You may not exceed the limits of your license, share access beyond the licensed
  • scope, or circumvent any technical enforcement or activation mechanism.

  • You may not use the Service to build a competing multichannel listing product or
  • to resell access to the Service to third parties.

  • We reserve the right to suspend, revoke, or refuse any license that we reasonably
  • believe is being used in violation of these Terms.

    5. Fees, Billing, and Subscriptions

  • Prices are stated at the point of purchase and are exclusive of taxes unless
  • otherwise noted. You are responsible for all applicable taxes.

  • Subscription licenses renew automatically for successive terms at the then-current
  • rate unless cancelled before the renewal date.

  • By providing a payment method you authorize us and our payment processors to charge
  • the applicable fees, including recurring renewal fees.

  • Payments are processed by third-party payment providers; your use of those providers
  • is subject to their own terms.

    6. No Refunds

    **All sales are final. There are no refunds and no pro-rated refunds for

    cancellations.** Cancelling a subscription stops future renewals but does not entitle

    you to a refund of any amount already paid for the current or any prior term. Fees

    paid are non-refundable to the maximum extent permitted by applicable law.

    7. Cancellation and Termination

  • You may cancel a subscription at any time; cancellation takes effect at the end of
  • the current paid term with no refund for the remaining period.

  • We may suspend or terminate your access to the Service at any time for any violation
  • of these Terms or conduct we reasonably believe is harmful.

  • Upon termination, your right to use the Service ceases immediately. Provisions that
  • by their nature should survive termination will survive, including sections on fees,

    disclaimers, limitation of liability, and indemnification.

    8. Acceptable Use

    You agree not to:

  • Use the Service for any unlawful, infringing, or fraudulent purpose, or in violation
  • of any applicable law or regulation.

  • Reverse engineer, decompile, or attempt to extract source code, signing keys, or
  • secrets from the Service except to the extent expressly permitted by applicable law.

  • Interfere with or disrupt the integrity or performance of any system connected to
  • the Service, including third-party marketplace platforms.

  • Attempt to gain unauthorized access to any channel account, marketplace, or third-
  • party system beyond what the legitimate account holder has authorized.

  • Resell, redistribute, or commercially exploit the Service except as expressly
  • authorized.

    9. Intellectual Property and Copyright

    The Service, including all software, source code, designs, text, graphics, logos, and

    branding, is © 2026 AideaMaker LLC and is owned by AideaMaker LLC or its licensors,

    protected by copyright, trademark, and other intellectual property laws. All rights

    reserved. "Emporania", "AideaMaker", and associated logos and marks are trademarks or

    trade names of AideaMaker LLC. Except for the limited license expressly granted, no

    right, title, or interest in the Service is transferred to you.

    Emporania is an AideaMaker brand, a product of AideaMaker LLC. AideaMaker LLC does not

    receive postal mail; all contact is through the contact form (see Section 31).

    10. Self-Hosted Deployment

  • The Service is installed and operated on infrastructure you control. Your catalog,
  • listings, orders, metrics, and channel credentials reside in your own database and

    object storage — not on AideaMaker LLC's servers.

  • You are solely responsible for the security, availability, and maintenance of your
  • deployment environment, including your database, Redis instance, S3-compatible

    storage, and network configuration.

  • AideaMaker LLC does not have access to your deployment, your data, or your channel
  • credentials and has no ability to monitor, inspect, or recover them.

  • You are responsible for maintaining your own backups. AideaMaker LLC is not a backup
  • provider and is not liable for any data loss, corruption, or unavailability arising

    from your deployment environment.

    11. Third-Party Marketplace Services

  • The Service connects to third-party marketplace platforms (eBay, Etsy, Shopify,
  • Amazon, and others) on your behalf, using credentials and permissions you provide.

    Your use of each marketplace is governed solely by that marketplace's own terms of

    service, policies, and agreements, which you accept independently.

  • You are solely responsible for obtaining, maintaining, and complying with any account,
  • developer, or API agreements required by each marketplace you connect.

  • We are not responsible for any marketplace's availability, accuracy, policy changes,
  • rate limits, or the content of any third-party data returned through marketplace APIs.

  • We are not liable for any marketplace account suspension, ban, fee, penalty, or other
  • consequence arising from your use of the Service to interact with that marketplace.

    12. Browser Automation

  • Certain channel adapters within the Service use browser automation (Playwright) to
  • interact with marketplaces that do not offer a supported API. Browser automation

    involves the automated control of a web browser to perform actions a human user

    would otherwise perform manually.

  • **Browser automation may violate the terms of service of the marketplace being
  • automated.** You are solely responsible for reviewing and complying with each

    marketplace's terms of service before enabling automation adapters for that

    marketplace. AideaMaker LLC does not warrant that browser automation adapters

    comply with any marketplace's terms of service.

  • You acknowledge that marketplace platforms may detect and block automated activity,
  • resulting in account restrictions, suspensions, or bans. AideaMaker LLC is not liable

    for any such consequences.

  • The Service includes a global automation kill switch (AUTOMATION_ENABLED). You are
  • responsible for disabling automation immediately upon any block signal, policy change,

    or communication from a marketplace indicating that automation is not permitted.

  • You assume all risk associated with enabling browser automation adapters and will
  • indemnify AideaMaker LLC for any claims arising from your use of automation features.

    13. Channel Credentials and API Keys

  • You may store marketplace OAuth tokens, API keys, and other channel credentials within
  • the Service. These are encrypted at rest within your deployment using your own

    application secret key.

  • You are solely responsible for the validity, accuracy, and legal authorization of any
  • credentials you store. You represent that you are the authorized holder of any account

    whose credentials you provide to the Service.

  • Never store credentials for a marketplace account you do not have authority to access.
  • We are not liable for any unauthorized use of, or loss of access to, channel credentials
  • stored in your deployment.

    14. API Use and Issued Keys

  • Keys we issue to you vs. keys you supply to us. Section 13 above governs credentials
  • _you provide_ to the Service (marketplace OAuth tokens and API keys you own). This section

    governs API keys that _the Service generates and issues to you_ for programmatic access

    to Emporania's own API (/api/keys).

  • Confidentiality. Issued API keys are confidential. Your key is displayed in plaintext
  • only once at the time of creation; after that only a masked representation is available.

    You are responsible for storing your key securely. If you believe a key has been

    compromised, rotate or revoke it immediately using the key-management interface.

  • Responsibility for activity. You are solely responsible for all activity that occurs
  • under API keys issued to your workspace, whether or not that activity was authorized by you.

    Sharing a key with a third party does not transfer this responsibility.

  • Rate limits and quotas. We may impose, modify, or remove rate limits, quotas, and usage
  • restrictions on issued API keys at any time and without prior notice, in order to maintain

    Service stability and fair use.

  • Prohibited uses. You may not use issued API keys to build a service that competes with
  • Emporania, to scrape or bulk-export data beyond the limits of your license, or in any manner

    that unduly burdens or harms the Service or its infrastructure.

  • Suspension and revocation. We may suspend, revoke, or invalidate issued API keys at
  • any time for violations of these Terms or to protect the stability, security, or integrity

    of the Service. Revocation does not entitle you to any refund.

    15. Multichannel Listing and Cross-Posting

  • The Service enables you to publish product listings to multiple third-party marketplace platforms ("Channels") simultaneously. You are solely responsible for ensuring that your use of each Channel — including each listing you create, the content you submit, and any cross-posting activity — complies with that Channel's own terms of service, seller policies, listing standards, and any applicable laws or regulations.
  • Emporania is not affiliated with, endorsed by, or sponsored by eBay, Etsy, Shopify, or any other marketplace. The use of those names in the Service is solely to identify the platforms to which the Service connects.
  • We make no guarantee that any listing will be accepted by a Channel, achieve any ranking or visibility, result in a sale, or be delisted within any particular timeframe. We are not responsible for marketplace policies that block, demote, remove, or penalize listings.
  • Marketplace platforms are independent third-party services. Their availability, policies, fees, and behavior are outside our control. Changes to a marketplace's API, policies, or account rules may affect the Service's ability to interact with that platform without notice.
  • You acknowledge that delisting and sale-detection depend on signals provided by marketplaces, which may be delayed, unavailable, or inaccurate. Despite the Service's best-effort reconciliation, we do not guarantee prevention of double-sales or missed delistings.
  • 16. User Content and Catalog

  • You retain ownership of all product data, images, descriptions, attributes, and other content you upload or input into the Service ("User Content").
  • By uploading User Content, you grant AideaMaker LLC a limited, non-exclusive, royalty-free license to store, process, and transmit that content solely as necessary to operate the Service on your behalf — including transmitting listings to the Channels you select.
  • You represent and warrant that you have all necessary rights, licenses, and permissions to upload User Content and to authorize its transmission to any Channel you select, and that your User Content does not infringe the intellectual-property rights, privacy rights, or other rights of any third party.
  • You must not upload User Content that is prohibited, infringing, counterfeit, illegal, defamatory, obscene, or otherwise in violation of applicable law or any marketplace's policies. We may suspend access to the Service for User Content that violates these Terms.
  • AideaMaker LLC does not review User Content prior to publication and is not responsible for the accuracy, legality, or appropriateness of any User Content you upload.
  • 17. Orders and Inventory Data

  • Order data imported into the Service from marketplace Channels is provided as-is, as reported by each marketplace. Each marketplace remains the system of record for its own orders, buyer information, and transaction details. Imported data may be incomplete, delayed, or subject to revision by the marketplace.
  • You are solely responsible for fulfilling orders, communicating with buyers, issuing refunds, and complying with each marketplace's seller obligations. The Service does not fulfill orders, contact buyers, or process payments on your behalf.
  • Inventory quantities displayed in the Service reflect your own entries and the results of sync operations. You are responsible for verifying that inventory levels are accurate before publishing or adjusting listings.
  • 18. First-Party Analytics and IP Handling

  • The Service includes a built-in, first-party analytics system. No third-party analytics scripts, tracking pixels, or cookies are used. Analytics data is stored exclusively within your own deployment.
  • For abuse-prevention purposes, visitor IP addresses are processed as follows: IP addresses are one-way hashed (irreversibly) before storage in analytics records. Raw (unhashed) IP addresses are retained only on error events and for a limited period solely for abuse investigation. Raw IPs are never exported in any data-export feature and are never sold, rented, or shared with third parties.
  • Country-level geographic data may be derived from a proxy-forwarded geo header. The Service does not perform IP-based geolocation using any external library or service.
  • Administrators may ban IP addresses identified as abusive. You are responsible for ensuring that any IP banning you perform complies with applicable law.
  • Because analytics are self-hosted, AideaMaker LLC does not have access to your analytics data and is not responsible for it.
  • 19. Transactional Email and Contact Form

  • By providing an email address when creating an account or using the Service, you consent to receive transactional email messages necessary for the operation of the Service, including password-reset emails and security notifications. These are operational messages, not marketing communications.
  • The Service includes a public contact form. Messages submitted through the contact form are delivered to the operator-configured recipient address. The recipient address is an administrative setting and is not displayed to visitors. AideaMaker LLC does not receive or process contact-form submissions directed to your installation.
  • You are responsible for configuring a valid email recipient address and for complying with applicable anti-spam laws (including CAN-SPAM and CASL) with respect to any email you send through or in connection with the Service.
  • 20. Multi-User Accounts and Member Governance

  • The Service allows account owners to invite additional members with assigned roles (Owner, Manager, Staff). The account owner is solely responsible for all members they add, the access levels granted, and all activity performed under those member accounts.
  • Administrators may block or unblock member accounts; blocking terminates any live sessions for that member immediately. Administrators may also set or force-change member passwords and delete member accounts.
  • All administrative actions on member accounts are recorded in an audit log within your deployment. You are responsible for maintaining appropriate access controls and for reviewing audit logs.
  • You represent that any member you add has consented to the collection and processing of their account information within your deployment.
  • 21. AI Listing Generation

  • The Service includes an optional AI listing-generation feature that sends product data (title, SKU, brand, condition, category, description, and attributes) to a third-party AI provider (Anthropic or OpenAI) using an API key you supply. You are solely responsible for obtaining and maintaining your own API key and for complying with the terms of service of whichever AI provider you configure.
  • By enabling the AI listing-generation feature you authorize the Service to transmit your product data to the configured AI provider for the purpose of generating listing copy. Do not configure the feature if your product data contains information you are not authorized to transmit to a third-party AI service.
  • AI-generated listing copy is provided as a starting point only. You are responsible for reviewing, editing, and approving all AI-generated content before publishing it to any Channel. We make no warranty that AI-generated content is accurate, appropriate, non-infringing, or compliant with any marketplace's listing policies.
  • AideaMaker LLC is not responsible for the availability, accuracy, output quality, or data-handling practices of any third-party AI provider. Your use of Anthropic, OpenAI, or any other AI provider is governed solely by that provider's own terms of service and privacy policy.
  • 22. Privacy and Data

  • Because the Service is self-hosted, your end-user data remains within your own
  • infrastructure. We do not collect your operational data (catalog, listings, orders,

    metrics, channel credentials) and have no access to it.

  • The Service uses a session cookie ("emporania_session") to maintain authenticated
  • sessions. This cookie is httpOnly and contains only an opaque random token; no personal

    data is stored in the cookie itself. Session data is stored in your deployment's database.

  • We may collect basic telemetry, error reporting, or update-check signals as disclosed
  • at the point of installation. We use such data to operate and improve the Service;

    we do not sell it.

  • You are responsible for your own compliance with applicable data-protection and privacy
  • laws as they relate to the data you store and process through your deployment of the

    Service, including data about your buyers and customers.

    23. Third-Party Services

    The Service integrates with third-party providers (marketplace APIs, payment processors,

    email delivery, browser automation runtimes, and hosting). We are not responsible for

    the availability, accuracy, policy changes, or conduct of any third-party service. Your

    use of those services is governed by their own terms and policies.

    24. Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND,

    WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED

    WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND

    NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-

    FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. WE SPECIFICALLY DISCLAIM ANY WARRANTY

    THAT THE SERVICE WILL PREVENT DOUBLE-SALES, MISSED DELISTINGS, OR ANY OTHER ADVERSE

    OUTCOME IN CONNECTION WITH YOUR MARKETPLACE LISTINGS.

    25. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AIDEAMAKER LLC OR ITS

    AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL,

    SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS,

    REVENUE, SALES, DATA, MARKETPLACE ACCOUNT ACCESS, OR GOODWILL, ARISING OUT OF OR

    RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY DOUBLE-SALES, FAILED DELISTINGS, OR

    MARKETPLACE POLICY VIOLATIONS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT

    OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US

    IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

    26. Indemnification

    You agree to indemnify, defend, and hold harmless AideaMaker LLC and its affiliates from

    and against any claims, liabilities, damages, losses, and expenses, including reasonable

    legal fees, arising out of or in any way connected with: (a) your use of the Service;

    (b) your violation of these Terms; (c) your violation of any marketplace's terms of

    service; (d) your use of browser automation adapters; (e) unauthorized access to any

    marketplace account; (f) your deployment, configuration, or operation of the Service

    on your own infrastructure; (g) any User Content you upload or transmit through the

    Service; (h) your fulfillment obligations or communications with buyers; or (i) any

    action you or your members take through the member governance features.

    27. Changes to the Service or Terms

    We may modify the Service or these Terms at any time. Material changes will be posted

    with an updated effective date. Your continued use of the Service after changes take

    effect constitutes acceptance of the revised Terms.

    28. Governing Law and Disputes

    These Terms are governed by the laws of the State of Texas, without regard to its

    conflict-of-laws principles.

    Informal resolution. Before filing any formal claim, you agree to contact us through

    the contact form at https://emporania.com/contact and describe the dispute; we will

    attempt to resolve it informally within 30 days.

    Binding arbitration. If informal resolution fails, any dispute, claim, or controversy

    arising out of or relating to these Terms or the Service will be resolved exclusively by

    binding individual arbitration administered by the American Arbitration Association ("AAA")

    under its Consumer Arbitration Rules (or, if you are a business, its Commercial Arbitration

    Rules). Arbitration will be conducted in Bexar County, Texas unless both parties agree

    otherwise in writing.

    Class action and jury-trial waivers. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL

    CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE,

    REPRESENTATIVE, OR MASS-ACTION PROCEEDING. BOTH PARTIES WAIVE ALL RIGHTS TO A JURY TRIAL.

    Small-claims carve-out. Either party may bring an individual claim in a small-claims

    court of competent jurisdiction in lieu of arbitration.

    IP carve-out. Nothing prevents either party from seeking injunctive or other equitable

    relief in a court of competent jurisdiction to protect intellectual-property rights or

    confidential information.

    29. Severability and Waiver

    If any provision of these Terms is held unenforceable, it will be limited to the minimum

    extent necessary, and the remaining provisions will remain in full force and effect. Our

    failure to enforce any right or provision will not be deemed a waiver.

    30. Entire Agreement

    These Terms constitute the entire agreement between you and AideaMaker LLC regarding the

    Service and supersede all prior agreements and understandings.

    31. Buyer Storefront Terms

    The following terms apply to any person who browses, creates an account on, or purchases

    from a storefront hosted through Emporania ("Buyer"). These sections supplement the

    general Terms above where applicable to Buyers.

    Buyer Accounts. When you create a buyer account you must provide a valid email address

    and verify it before using the storefront. You are responsible for maintaining the

    confidentiality of your credentials. We may suspend or terminate buyer accounts for

    violation of these Terms, at the discretion of the storefront operator.

    Purchases. All transactions are between the Buyer and the storefront operator (the

    Emporania subscriber who operates that store). Emporania acts solely as the platform

    enabling those transactions. Pricing, availability, fulfillment, returns, and refunds are

    the responsibility of the storefront operator, not AideaMaker LLC. If you have a dispute

    about a purchase, contact the storefront operator first.

    No Warranty on Listed Goods. AideaMaker LLC makes no warranty regarding the condition,

    accuracy, legality, or fitness for purpose of any goods or services listed on storefronts

    powered by Emporania. Listings are provided by the storefront operator, and AideaMaker LLC

    is not a party to any purchase contract.

    Prohibited Conduct. You may not use a buyer account to scrape product data,

    systematically place and cancel orders, abuse coupon or discount systems, or conduct any

    activity that disrupts the storefront or its other customers.

    Governing Law. These Buyer Storefront Terms are governed by the same governing law and

    arbitration venue as the main Terms (§ 28).


    32. Contact

    The only way to reach AideaMaker LLC regarding Emporania is the contact form at

    https://emporania.com/contact. We do not publish a contact email address or telephone

    number, and we do not receive, monitor, open, or accept postal mail, couriered items, or

    any physical deliveries — any mail or delivery addressed to AideaMaker LLC will not reach

    us and should not be sent. Send all communications, including any legal or privacy notice,

    through the contact form; we reply to the address you provide.
